Terms of Service
These Terms are entered into by and between you and Archer Systems LLC ("Archer", "we", "us"). By accessing or using ARCHER, you agree to these Terms.
1. Service and License
ARCHER is licensed, not sold. Subject to these Terms and your active subscription, Archer grants you a limited, non-exclusive, non-transferable license to use the desktop software for your internal business operations.
2. License Restrictions and Acceptable Use
- You may not resell, sublicense, or distribute the software.
- You may not reverse engineer, decompile, or attempt to extract source code except where required by law.
- You are responsible for lawful use and for maintaining control of your user access and credentials.
3. Subscriptions, Trial, and Billing
ARCHER may be offered with a 30-day evaluation period. At the end of the evaluation period, paid subscription billing begins unless canceled beforehand. Subscription fees are billed in advance and are due according to your selected plan.
4. Refunds
Refund eligibility is described in our Refund Policy. In general, a 14-day refund window applies from the initial paid subscription charge, subject to the stated conditions.
5. Support and Updates
Archer may provide support and software updates at its discretion. We aim to maintain a reliable service experience, but we do not guarantee specific update schedules, feature roadmaps, or uninterrupted availability.
6. Disclaimers
ARCHER is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Archer disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
To the maximum extent permitted by law, Archer will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity. Archer's aggregate liability under these Terms will not exceed the amounts paid by you for ARCHER in the 12 months before the event giving rise to the claim.
8. Governing Law and Venue
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Any legal action arising from these Terms must be brought in state or federal courts located in Washington, and each party consents to that venue and jurisdiction.
